Welcome to ProMed Medical Marketplace ("ProMed," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our B2B medical marketplace platform, including our website, mobile applications, and related services (collectively, the "Platform").

By accessing or using ProMed, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

2. Eligibility and Account Registration

2.1 Eligibility

ProMed is a B2B platform exclusively for healthcare professionals, medical facilities, and certified medical device suppliers. To use our Platform, you must:

• Be at least 18 years of age
• Represent a legitimate healthcare facility, clinic, hospital, pharmacy, or medical supplier
• Have the legal authority to bind your organization to these Terms
• Provide accurate and complete registration information

2.2 Account Registration

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

2.3 Verification

We reserve the right to verify your professional credentials, business licenses, and other documentation. Failure to provide requested verification may result in account suspension or termination.

3. Use of the Platform

3.1 Permitted Use

You may use the Platform to:

• Browse and search for medical products and supplies
• Place orders with verified suppliers
• Communicate with suppliers and customer support
• Manage your account and order history
• Access educational resources and product information

3.2 Prohibited Activities

You agree NOT to:

• Use the Platform for any unlawful purpose or in violation of these Terms
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Platform's operation or security
• Attempt to gain unauthorized access to any part of the Platform
• Use automated systems (bots, scrapers) without our written permission
• Transmit viruses, malware, or other harmful code
• Harass, abuse, or harm other users or suppliers
• Violate any applicable laws, regulations, or third-party rights
• Resell or redistribute products purchased through the Platform without proper authorization

4. Orders and Transactions

4.1 Product Listings

Product descriptions, images, and specifications are provided by suppliers. While we strive for accuracy, we do not guarantee that all information is complete, current, or error-free. Suppliers are responsible for the accuracy of their product listings.

4.2 Pricing and Payment

• All prices are displayed in Iraqi Dinar (IQD) unless otherwise stated
• Prices are subject to change without notice
• Payment must be made through approved payment methods
• You are responsible for all applicable taxes and fees
• We reserve the right to refuse or cancel orders for any reason

4.3 Order Fulfillment

Orders are fulfilled by individual suppliers. Delivery times, shipping costs, and fulfillment policies may vary by supplier. We are not responsible for delays or failures in delivery caused by suppliers or third-party carriers.

4.4 Returns and Refunds

Return and refund policies are determined by individual suppliers and must comply with applicable laws. Please review the supplier's policy before making a purchase. Medical devices and certain healthcare products may have restrictions on returns due to safety and regulatory requirements.

5. Supplier Responsibilities

If you are a registered supplier on ProMed, you agree to:

• Maintain all required licenses, certifications, and permits
• Provide accurate product information and pricing
• Fulfill orders promptly and professionally
• Comply with all applicable laws and regulations
• Maintain product quality and safety standards
• Handle customer inquiries and complaints professionally
• Pay applicable fees and commissions to ProMed

6. Intellectual Property

6.1 ProMed Content

All content on the Platform, including text, graphics, logos, images, software, and design, is owned by ProMed or our licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

6.2 User Content

By submitting content to the Platform (reviews, comments, images), you grant ProMed a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with operating the Platform.

7. Disclaimers and Limitations of Liability

7.1 Platform "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

7.2 Product Liability

ProMed is a marketplace platform connecting buyers and suppliers. We are not the manufacturer, distributor, or seller of products listed on the Platform. Suppliers are solely responsible for product quality, safety, and compliance with applicable regulations.

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Indemnification

You agree to indemnify, defend, and hold harmless ProMed, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

9. Termination

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Failure to verify credentials
• Prolonged inactivity
• Request by law enforcement or regulatory authorities

Upon termination, your right to use the Platform will immediately cease. Provisions that by their nature should survive termination shall remain in effect.

10. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to binding arbitration in accordance with the laws of Iraq.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Iraq, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Iraq.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the modified Terms.
